POWRBRIDGE LTD • Master Service Agreement
"By engaging with POWRBRIDGE LTD, you enter into a legally binding agreement governed by the laws of England and Wales. These terms protect both the service provider and the client."
1. Engagement & Services
POWRBRIDGE LTD (Company No: 16979094) provides bespoke software engineering, IT consultancy, and digital transformation services. Engagement begins upon the formal signing of a Statement of Work (SOW) or the payment of an initial deposit.
2. Intellectual Property (IP) Rights
Unless otherwise specified in writing:
- Retention of Rights: All source code and designs remain the sole property of POWRBRIDGE LTD until 100% of the project fee is cleared.
- Grant of License: Upon final payment, the client is granted an irrevocable, worldwide license to use the delivered software for its intended business purpose.
3. Limitation of Liability
POWRBRIDGE LTD shall not be liable for any loss of profit, data breach due to third-party providers, or indirect damages arising from the delivery of our services. Our total liability is limited to the total amount paid by the client for the specific service in question.
4. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this contract shall be subject to the exclusive jurisdiction of the Courts of England.
